Sazgar Clarifies Philippines Plant Is Distributor's Project, Not Equity Investment

Sazgar Engineering Works says its Philippines assembly facility is owned by its distributor, with the Pakistani firm providing technical support and exporting CKD kits rather than holding equity in the plant.

Sazgar Engineering Works Limited has moved to clear up confusion over its three-wheeler operations in the Philippines, telling the Pakistan Stock Exchange that it has not taken an equity stake in a manufacturing and assembly plant in the country. The clarification, filed on November 2, followed social media reports suggesting the Pakistani automaker had set up or was establishing its own production project there.

According to the company, the facility was established by its local distributor to manufacture and assemble Sazgar three-wheelers, with support and technical assistance provided by the Pakistani side. The statement draws a clear line between backing a partner's plant and owning a share of it, a distinction that matters to investors tracking the company's overseas exposure.

Under the arrangement, Sazgar will ship completely knocked-down (CKD) kits to the Philippines, where they will be assembled for local sale. The company said the project is expected to strengthen its three-wheeler exports and broaden its reach in international markets, while the CKD shipments also contribute to Pakistan's foreign exchange earnings.

Sazgar said it will inform the PSX and the Securities and Exchange Commission of Pakistan of any future decision to invest equity in the Philippines or in any other overseas manufacturing venture, in line with applicable laws and disclosure rules. The company's statement was issued specifically to separate its technical support for the distributor's facility from any equity investment.

The clarification comes as Pakistani auto and auto-parts makers increasingly look to export markets to offset soft domestic demand. Sazgar's three-wheeler business has been a notable performer for the company, and the Philippines project offers a route to scale shipments without committing capital to an overseas plant at this stage.
